1. Acceptance of Terms

By accessing and using the services provided by Kubec Web Design ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services

Kubec Web Design provides web design and development services, including:

• Custom website design and development
• User interface and user experience design
• Website maintenance and updates
• Consultation and technical support
• Other related web services as agreed upon

3. Project Scope and Deliverables

All projects will be defined by a written agreement or statement of work that includes:

• Project scope and deliverables
• Timeline and milestones
• Payment terms and schedule
• Revision and approval process

Changes to the agreed scope may result in additional charges and timeline adjustments.

4. Payment Terms

Unless otherwise specified in writing:

• A deposit may be required before work begins
• Payment is due within 30 days of invoice date
• Late payments may incur additional fees
• Work may be suspended for overdue accounts

5. Client Responsibilities

The client agrees to:

• Provide necessary content, materials, and feedback in a timely manner
• Review and approve deliverables within agreed timeframes
• Ensure all provided content is original or properly licensed
• Provide access to necessary accounts, domains, and hosting services
• Communicate changes or concerns promptly

6. Intellectual Property

Upon full payment:

• Client owns the final delivered website and custom code
• Client is responsible for obtaining licenses for third-party components
• Kubec Web Design retains rights to general methodologies and techniques
• Portfolio and case study rights are retained by Kubec Web Design

7. Warranties and Disclaimers

We warrant that:

• Services will be performed with professional skill and care
• Delivered work will substantially conform to agreed specifications

EXCEPT AS EXPRESSLY SET FORTH ABOVE, WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL KUBEC WEB DESIGN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

9. Revisions and Changes

Project quotes typically include a specified number of revision rounds. Additional revisions beyond the agreed scope may incur extra charges.

Major changes to project scope will require a new agreement and may affect timeline and pricing.

10. Termination

Either party may terminate the agreement with written notice. In case of termination:

• Client is responsible for payment of work completed
• Deliverables will be provided for work paid in full
• Unused deposits may be refunded at our discretion

11. Support and Maintenance

Post-launch support and maintenance services are available separately. Basic support for issues directly related to our work may be provided for a reasonable period after project completion.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government regulations.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
